Osborne Clarke has provided legal advice to the shareholders of Berlin-based Phiture GmbH on the sale of the company to Swedish Precis Group.
Phiture is a leading mobile growth consultancy with expertise in app store optimisation (ASO), mobile user acquisition, CRM and lifecycle marketing, as well as performance creative and proprietary, AI-supported growth tools. In recent years, the company has made a name for itself within the international mobile growth community through its practical frameworks, e‑books, its “Growth Phestival” event format, podcasts and the continuous development of AI‑based solutions.
Precis is a data-driven, results-oriented agency with extensive expertise in paid media (including search, social and programmatic), data & analytics, SEO, AEO & CRO, as well as creative services. With “Alvie”, the company operates its own platform that translates marketing data into more efficient budget decisions.
The merger creates a growth partner that combines mobile‑first performance and full‑funnel optimisation with enterprise media, measurement and experimentation. The aim of the transaction is to bring together the strengths of both companies and further advance their shared vision. Phiture’s founders and management team will drive the continued expansion of the business together with Precis. For Phiture’s clients, the mission‑driven, client‑first focus will remain; at the same time, additional opportunities will arise to more closely integrate mobile growth initiatives with large-scale performance marketing set-ups and enhanced analytics and measurement solutions.
“We are delighted to have supported Phiture and its shareholders in taking this important step and to have contributed to turning a successful Germany‑grown mobile growth player and an internationally positioned performance network into a joint, modern growth partner,” said Robin Eyben, Partner at Osborne Clarke.
Osborne Clarke provided the shareholders of Phiture with comprehensive advice on all corporate, contractual and other legal aspects of the transaction – from structuring and due diligence through to the negotiation and implementation of the transaction documentation.
