BonelliErede is acting for Terna Plus S.r.l. (Terna Group) in relation to an agreement for the conferral, to its controlled company Tamini Trasformatori, of the entire share capital of TES – Transformer Electro Service, a company owned by the Xenon Private Equity fund, and Riccardo Reboldi and Giorgio Gussago (TES shareholders), operating mainly in the production of transformers for industrial use.

The agreement in fact provides that the process of integration of TES into Tamini will take part through an exchange of shares as described in the Terna press release dated 16 September 2015.

Osborne Clarke’s managing partner Riccardo Roversi and senior associate Alessandro Villa are advising the TES shareholders.

BonelliErede acts for the Terna Group with a team comprising partners Roberto Cera and Barbara Napolitano, with associate Giuseppe Battaglia.
