Osborne Clarke, with a team led by partner Giuliano Lanzavecchia, assisted by associate Alessandra Bianchi, advised Giordano Vini, a subsidiary of the AIM Italia listed Italian Wine Brands, in its purchase of the entire share capital of Promozione Distribuzione Vendita srl, a company owning the online B2C platform Svinando, one ofthe emerging and most innovative  wine clubs on the Italian market.

Giordano Vini was also assisted by Chiaravalli Reali e Associati for the accounting and tax due diligence and by Oaklins Arietti as financial advisor. Italian Wine Brands is a wine group born from the aggregation of Giordano Vini and Provinco Italia by Ipo Challenger, an evoluted form of Spac, in which its companies merged and launched on the Stock market in January 2015. Svinando was the first operator to introduce the model of private sales applied to the wine sector in Italy.

Through the  Svinando wine club it is possible to purchase, at exclusive prices, highly prestigious wines selected and reviewed by a team of experts from the wine market. The company has over 100,000 registered users and a turnover of approximately 1 milion euro.
