Osborne Clarke has advised the majority shareholder of the CeleraOne GmbH, Dr. Falk-Florian Henrich, on the sale of his shares to Axel Springer SE.

Founded in 2012, CeleraOne specializes in the real-time processing of large volumes of data, and is a service provider for numerous German and Swiss publishers with its solutions for paid content technology. With its strong technical background, the company builds the infrastructure for the online presence of small and large content providers.

CeleraOne's business which provided artificial intelligence solutions for the steel industry will no longer be part of CeleraOne and will be headed by Dr. Falk-Florian Henrich as part of Smart Steel Technologies GmbH.

Smart Steel Technologies increases the efficiency of  steel production with robust and industry tested artificial intelligence products. The high-tech company, based in Berlin, operates in Europe and the US, and offers specialised optimization solutions for all process steps in  steel production and  steel processing.

Axel Springer is Europe’s leading digital publisher. The company, headquartered in Berlin, is active in more than 40 countries with subsidiaries, participations and licenses. From January until September 2018, its digital activities contributed almost 70 percent to revenues and more than 80 percent to earnings (adj. EBITDA). The company employs more than 16,000 people worldwide.

An Osborne Clarke team led by M&A and Venture Capital Partner Robin Eyben advised the majority shareholder of CeleraOne on the transaction. The team also included Maximilian Vocke, Alexandra Nautsch (both Corporate/M&A/VC), Dr. Ulrike Bär (Tax), Dr. Sebastian Hack (Merger Control), Dr. Tim Reinhard, Dr. Isabel Altmeyer (both IP), Dr. Hendrik Schöttle (IT/Data Protection), Sonja Riedemann and Nils-Frederik Wiehmann (both Employment).
