Osborne Clarke advises Ducker Carlisle on the acquisition of Munich Strategy

Osborne Clarke has advised Ducker Carlisle, a portfolio company of Boathouse Capital, on the acquisition of Munich Strategy GmbH & Co. KG and the reinvestment of part of the sellers.

Ducker Carlisle, a US-based consulting firm specialising in strategy, M&A and market analysis, and Munich Strategy, a German management consultancy, have announced their merger. As a result, Munich Strategy's German and European clients will gain access to over 100 consultants in the US market, while Ducker Carlisle will double its presence in Europe. The aim is to create a leading international consulting partner for companies and private equity funds in their shared industries.

The united team, with over 200 employees worldwide, offers a broad range of services: strategy consulting, transformation, research & analytics, pricing strategy, supply chain optimisation, development of AI-based solutions and other specialised consulting services that help companies achieve growth, enhance performance and secure long-term competitive advantages. The team also provides M&A transaction advisory services – including buy-side and sell-side due diligence and value enhancement measures to help private equity clients minimise risks, close transactions quickly, and successfully drive growth initiatives post-acquisition.

The transaction is a milestone in Ducker Carlisle's growth strategy, supported by Boathouse Capital. The investor has been accompanying the development of Ducker Carlisle's consulting portfolio for years to meet the evolving demands of international clients and transaction partners.

The Osborne Clarke team that advised Ducker Carlisle, led by Dr Nanni Spitzer, Lorenz Chwaszcza (both Private Equity / M&A) and Florian Merkle (Tax), consisted of Philip Meichssner, Nicolas Schmid (both Privat Equity / M&A), Patrick Seiler (Tax), Daniel Stein (Commercial), André Braig (Employment) and Dr Florian Eisenmenger (IT).

The US legal aspects of the transaction were advised by longtime Boathouse counsel Ballard Spahr LLP. The team was led by Ryan Udell and included Adam Chelminiak (both Private Equity / M&A) and Sharon Shachar (Tax).
