Osborne Clarke advises shareholders of APC AG on sale to Pest Control Partnership and reinvestment

Osborne Clarke has provided legal advice to the shareholders of APC AG on the sale of all shares to Pest Control Partnership (PCP), a portfolio company of Partners Group, as well as in connection with the reinvestment.
APC offers a broad range of services in the field of pest prevention and control and operates nationwide in Germany. The Nuremberg-based company was founded in 1995 by Michael Kahlo and Hans Glöckl and converted into a stock corporation in 2001. Since then, APC has grown continuously and today employs more than 330 people at six locations in Germany. Through its integration into the PCP group, APC’s successful growth strategy will be continued under the umbrella of an international platform. At the same time, the established APC brand will be retained.
Comprehensive advice on sale and reinvestment
Osborne Clarke advised the shareholders of APC AG on all key legal aspects of the sale and the reinvestment. The advice covered, in particular, the structuring and negotiation of the transaction documentation, corporate law matters relating to the transfer of all shares, as well as tax, competition, IP and employment law issues.
