Osborne Clarke advises on the sale of 100% shares in Jupiter-Integration sp. z o.o. to TKD Solutions GmbH

Osborne Clarke has advised the founders and shareholders of Jupiter-Integration sp. z o.o. on the sale of 100% of the shares in the company to TKD Solutions GmbH, a Germany-based technology services provider.

As an Apple Authorized Retailer and Service Provider, Jupiter is partner for Apple deployments, device management, support and Apple service.

The preliminary agreement was signed on 28 May 2026, with completion of the transaction being conditional, among other things, on obtaining antitrust approval. The transaction closed on 7 August 2026. Osborne Clarke has provided comprehensive legal support throughout every stage of the process. Following the acquisition, Jupiter-Integration will continue to operate under its current name.

Jupiter-Integration sp. z o.o. is a Warsaw-based technology company providing IT products, solutions and services to business customers. The company specialises in Apple and Samsung technologies, as well as IT infrastructure, mobile solutions and technology integration.

TKD Solutions GmbH is a Germany-based company and part of the TKD Group, specialising in mobile device solutions and related services for business customers. The group operates across Europe and provides solutions covering mobile device rental, device lifecycle management and managed mobility services.
