International legal practice Osborne Clarke has advised the management team of Jigsaw24 and Alcuin Capital on the sale of Jigsaw24 to Strive Capital. Osborne Clarke previously advised Alcuin on its investment in Jigsaw24 in 2018.

The acquisition brings Jigsaw24 together with Academia Group, which is owned by Strive Capital, to create a UK technology solutions group with combined annual revenues of £350 million. The group will bring together complementary expertise across Apple, Microsoft, Adobe, managed services, cyber security, cloud and professional services, serving customers in the education, public sector and commercial markets.

The transaction highlights Osborne Clarke’s experience advising management teams on significant technology-sector deals. Having advised Alcuin on its original investment and now on its exit, the firm has supported the investment across its lifecycle, drawing on its corporate, employment tax and banking capabilities.

“The addition of Jigsaw24 to Academia Group creates a business with greater scale and complementary capabilities and reflects the continued demand for technology solutions and services across the UK. This transaction demonstrates the strength of Osborne Clarke's team in advising businesses on complex transactions in the technology sector.”

Will Nicolson, Partner, Osborne Clarke

"Strive Capital’s acquisition of Jigsaw24 represents a real coup, bringing together two major players in the IT channels to establish a group with real scale.  The transaction is the product of 8 years of growth and development under the ownership of Alcuin, which saw the business expand the breadth and depth of its services offering.  Will and the team at Osborne Clarke have provided fantastic support throughout the life of the investment, not least in securing a successful exit."

Rob Hicking, CFO Jigsaw24

"Osborne Clarke provided sound support throughout the time of our investment in Jigsaw 24. We are hugely grateful to Will and all his colleagues for their advice and contribution to this successful realisation."
