Osborne Clarke again advises listed Mensch und Maschine Software SE on scrip dividend

Osborne Clarke has again advised stock exchange-listed Mensch und Maschine Software SE, a leading developer of technical software and digitalisation solutions in the areas of CAD/CAM/CAE/PDM and BIM, on the preparation and holding of its annual general meeting on 12 May 2026.

The main item on the agenda of the annual general meeting was once again the granting of a so-called scrip dividend as part of the resolution on the appropriation of profits for the financial year 2025. The scrip dividend is an alternative to a purely cash distribution, under which the company grants its shareholders the option to receive, in whole or in part, shares in the company instead of the cash dividend. Although it is widely used internationally, it remains rare in Germany, even though interest among issuers is increasing. It regularly offers a win-win situation, as shareholders can increase their shareholdings by using their dividend entitlement, while the company preserves its liquidity. Mensch und Maschine Software SE is among the few issuers in Germany that have, for many years, granted their shareholders such an option to receive shares instead of a cash dividend. The basis for the scrip dividend is a prospectus-exempt document in which the details of the scrip dividend are explained.

Osborne Clarke assisted the company with the structuring of the scrip dividend offer under the stock corporation and capital markets law and prepared the legally required documentation. Mensch und Maschine Software SE was advised by an Osborne Clarke team comprising Dr Alexander Thomas and Dr Fabian von Rabenau (both Corporate), in close cooperation with Markus Pech, CFO of Mensch und Maschine Software SE. From a securities processing perspective, Quirin Privatbank AG supported the implementation of the measure.
