Osborne Clarke advises Ulixes SGR on the structuring and establishment of the new Lumen II fund

Lumen Ventures has launched Lumen II, a new alternative venture capital fund with a hard cap of €100 million, managed by Ulixes SGR S.p.A., an Italian asset management company belonging to the Banca Popolare di Fondi Group. 

The fund aims to invest in innovative seed-stage start-ups operating in the fintech, insurtech, digital health and cybersecurity sectors. Investors include CDP Venture Capital SGR, which participated through the Fund of Funds (FOF) and the Digital Transfer Fund (DTF), alongside other institutional investors such as ENPAM, Banca Popolare di Fondi and a pool of banks.

Osborne Clarke advised Ulixes SGR on all governance and corporate aspects relating to the establishment of the Fund, with a team comprising partner Nunzia Melaccio, Head of Banking & Financial Regulatory, and associate Camilla Capaldo. It provided regulatory assistance in relation to the completion of the preparatory activities prior to the first closing, as well as in dealings with the Supervisory Authority. Osborne Clarke also assisted Ulixes SGR throughout the negotiation phase of the agreements with the promoters.
