Osborne Clarke advises Moyagi Group on acquisition of Lucky Voice

International legal practice Osborne Clarke has advised Moyagi Group, the Swedish karaoke bar operator, on its acquisition of the business and assets of Lucky Voice out of administration, securing the future of one of the UK's most iconic nightlife and entertainment brands.
The acquisition sees three of Lucky Voice's most popular venues, Soho, Holborn and Liverpool Street in London, transfer to Moyagi, along with the Lucky Voice brand, its intellectual property, its business-to-business operation and 59 employees. Lucky Voice, which was founded in 2005, has been one of the UK's most recognisable names in the nightlife sector for two decades.
The transaction reinforces Osborne Clarke's position as a leading adviser in the retail and consumer sector, highlighting the firm's ability to deliver complex transactions at pace, and the depth of cross-practice expertise in restructuring, employment, real estate, data, intellectual property and tax.
Lucky Voice is one of the most recognisable brands in the UK's nightlife scene, and we are proud to have helped secure its future. Working closely alongside the excellent Moyagi team, we were able to move quickly and efficiently to get this deal over the line. This strategically important acquisition marks a significant step in Moyagi's expansion in the UK market and we look forward to supporting them as they grow the Lucky Voice brand from here.
Acquiring a business out of administration, at pace and across restructuring, employment, real estate and IP, leaves no room for error. Douglas Hawthorn and the Osborne Clarke team were available around the clock, commercially sharp and consistently a step ahead – I never once doubted the advice. This acquisition makes Moyagi the leading private-room karaoke operator in London, and we could not have asked for a better partner to get it done.
The cross-practice Osborne Clarke team was led by partner Douglas Hawthorn, supported by associate director Anna Perry and senior associate Will Beck (Restructuring), partner Anna Elliot and senior associate Maeve Gillespie (Employment), partner David North and senior associate Sophie-Jennifer Pyle (Real Estate), partner Jonathan McDonald (Data), partner Richard May and associate director Leanne Gulliver (Intellectual Property), and legal director Allie Tuck (Tax).
The joint administrators of the Lucky Voice companies are Steve Absolom and Howard Smith of Interpath, who were advised by DWF Law LLP.
