Osborne Clarke has provided comprehensive legal advice to Jung Gummitechnik GmbH, a subsidiary of OWG Holding GmbH, on the sale of its Technical Rubber Goods business, including the associated property, to the JRT Group. The transaction is structured as a carve-out by way of an asset deal.
Jung Gummitechnik was founded in Einhausen in 1982 and specialises in the development and manufacture of high-quality elastomer products. Its product range includes hand-fabricated hoses, elbows and moulded components, as well as bespoke parts. Its other capabilities include prototyping and the manufacture of reproduction parts and spare parts for classic cars and motorsport.
The company operates production sites in Einhausen and Warstein and supplies customers in more than 30 countries. Its customers include companies in plant engineering and the automotive, pharmaceutical, medical, chemical and electrical industries.
The transaction involves the carve-out and sale of the Technical Rubber Goods business from Jung Gummitechnik GmbH. In addition to the business, the sale includes the associated property.
Comprehensive advice on structuring the transaction
Osborne Clarke advised Jung Gummitechnik comprehensively on all aspects of the carve-out and asset deal. A cross-practice team therefore supported both the carve-out and sale of the business and the property sale.
