Osborne Clarke advises management team of Wonderbly on its sale to Penguin Random House

International legal practice Osborne Clarke has advised the management team of independent online publisher Wonderbly on the sale of the business to Penguin Random House.
Founded in 2013, London-based Wonderbly has pioneered a direct-to-consumer publishing model that blends proprietary technology with best-in-class creative, marketing, and print-on-demand production capabilities. With a catalogue of over 150 personalised children’s and adult titles, Wonderbly has sold more than 11 million books in over 140 countries.
Wonderbly was named Children’s Publisher of the Year at the 2021 British Book Awards and was shortlisted for both Children’s Publisher of the Year and Publisher of the Year at the 2025 British Book Awards.
Following its acquisition Wonderbly will continue to operate independently within Penguin Random House and Asi Sharabi, its co-founder and CEO, will remain in his role and continue to lead the business.
Lawyers from Osborne Clarke’s corporate team in London acted for Wonderbly’s management team on the transaction, alongside Liberty Corporate Finance. The team comprised Pippa Byrne, partner and head of UK private equity at Osborne Clarke, senior associate Jack Harris, associate director Lottie France and associate Matt Mayes.
Osborne Clarke also advised Wonderbly in 2021 on the investment in the business by Graphite Capital, a leading UK mid-market private equity specialist.
