Osborne Clarke advises on £80m acquisition of Flock by Admiral Group

International legal practice Osborne Clarke has advised the shareholders of digital motor-fleet insurtech firm, Flock, on its all-cash acquisition by Admiral Group, one of the UK’s leading motor insurers, subject to regulatory approval. The transaction values the equity in Flock at £80m.
Following completion, Flock will become Admiral’s telemetry‑driven fleet insurance proposition, with its AI‑powered platform and specialist team forming a key part of Admiral’s commercial motor offering and enhancing the Group’s ability to price and manage fleet risk using real‑time driving data. Flock CEO Ed Leon Klinger will join Admiral Pioneer’s leadership team. The transaction is expected to complete in Q2 2026 and will be funded through Admiral’s existing resources and credit facilities.
Osborne Clarke has supported Flock since 2017, when it emerged from Ordnance Survey’s Geovation Accelerator Programme. The firm has advised on its full growth journey from “pay-as-you-fly” drone insurance into real-time insurance for commercial motor fleets.
Osborne Clarke also advised Flock on its £2.25 million seed round led by Anthemis, its $17 million Series A led by Social Capital, and its $38 million Series B led by Octopus Ventures, and has continued to advise the company on ongoing corporate, incentives, commercial, employment and regulatory matters.
