Osborne Clarke advises listed company CENIT AG on a rights issue totalling approximately EUR 10.9 million

Osborne Clarke has provided legal advice to the listed company CENIT AG on a rights issue totalling approximately EUR 10.9 million. As part of a rights issue carried out in August on the basis of authorised capital, all the shares offered were placed amongst the existing shareholders. This generated gross issue proceeds of just under EUR 10.9 million for CENIT AG, which will be used to finance the increase in its existing stake in ISR Information Products AG from 74.9% to 100%.

Osborne Clarke provided CENIT AG with comprehensive advice on company and capital markets law, in particular by drafting the necessary securities information sheet (WIB) and supporting the authorisation process with BaFin. From a securities perspective, Small & Mid Cap Investmentbank AG acted as the placement agent.
