Osborne Clarke advises RM plc on the £53.5 million sale of its TTS business

International legal practice Osborne Clarke has advised RM plc, a leading global educational technology, digital learning and assessment solution provider, on the sale of its subsidiary RM Educational Resources Limited, the operator of the Group's TTS business, to Eduviva Group AB for a total enterprise value of up to £53.5 million.

TTS designs, develops and creates innovative, curriculum-aligned educational resources that make learning engaging, inclusive and hands-on. Headquartered in Nottingham, TTS supplies UK schools and institutions as well as customers overseas, including in the United Arab Emirates. The disposal aligns with long-standing client RM's strategy to simplify its business, reduce net debt, and focus on its continuing group as a pure-play EdTech business.

This transaction demonstrates Osborne Clarke’s strength in supporting clients on strategic M&A and helping RM plc deliver a key milestone in its transformation plans. It also highlights the depth of our corporate offering where we regularly advise on high-value, complex transactions that enable clients to focus on their core growth businesses.

This announcement is yet another important milestone in the transformation of RM plc. The sale of TTS will simplify our business, significantly reduce RM’s net debt position, enabling us to capitalise on the high growth, global opportunities in digital assessment and to enhance our educational IT services business.
