Osborne Clarke advises REair S.r.l. in the investment by Gewiss

Gewiss S.p.A, a company operating internationally in the production of solutions and services for home and building automation, has completed an investment in the share capital of REair S.r.l, an Italian company active in the clean technology (cleantech) sector, specialising in the development of innovative solutions to improve indoor air quality (IAQ) and reduce outdoor air pollution.

Specifically, Gewiss has acquired a stake in REair’s share capital from certain shareholders and, at the same time, has subscribed to a reserved capital increase. Following the completion of the two transactions, Gewiss now holds a total of 51% of REair S.r.l. The structure of the agreement provided that all shareholders, including the sellers, would remain on the company’s shareholder register following the transaction.

Osborne Clarke advised REair S.r.l. and its shareholders with a team comprising partner Giuliano Lanzavecchia and junior associate Aldo Costanzo.
