An unprecedented transaction in the wellbeing market in the Central and Eastern Europe region

The team of experts at Osborne Clarke - Poland provided comprehensive advice to Poland’s leading wellbeing platform - HearMe, and its founders Kasia Gryzło and Adam Radzki, on its acquisition by the regional leader Hedepy.
As a result of the transaction, the largest wellbeing platform in Central and Eastern Europe will be created — with a team of over 1,000 specialists and a new service, Hedepy for Business PL (former HearMe), providing a consistent standard of mental health support across the region.
Our advice covered the structuring of the transaction and the negotiation of the documentation, with particular focus on a mixed consideration model, including consideration in the form of the buyer’s shares.
Supervision of the legal aspects of the transaction was led by Rafał Kozłowski. The transaction team included Szymon Tyniec and Adam Strzelecki from the Corporate Team, as well as lawyers from the Czech law firm Eldison.
HearMe is a Polish start-up founded in 2020 that offers psychological support for company employees through online consultations, webinars, chats and wellbeing programmes, focusing primarily on the B2B market.
Hedepy is a Czech online psychotherapy platform operating in nine Central and Eastern European countries. Prior to the merger, it focused mainly on individual therapy, serving individual clients, companies and schools.
