The challenge

As a well-established and diversified digital media company, a key part of their strategy focused on acquiring digital media properties across the tech, gaming, healthcare and shopping verticals.  Over a number of years, Ziff Davis successively acquired Everyday Health, Mashable, Spiceworks and BabyCenter.  Though all four companies were headquartered in the US, they each had significant overseas audiences and publishing operations which were a core part of the businesses.

Our solution

Ziff Davis turned to Osborne Clarke to advise on all overseas aspects of the transactions with dedicated international M&A corporate deal counsel in New York within the time zone to quarterback the transactions with support from specialist local counsel deal teams across Europe and Asia.  Osborne Clarke's cross-border M&A deal support model gave Ziff Davis access to coordinated local and international deal counsel.  This model enabling them to successfully complete a series of complex deals according to their timelines, within budget and while minimizing the headache of running transactions across borders and time zones.
