Osborne Clarke has advised the management team of the sustainable fashion brand erlich textil on their acquisition of all shares in Vorfreude GmbH from Calida Holding AG. 
Founded in 2016, the Cologne-based fashion brand erlich textil stands for fairness, sustainability and a positive working environment. As an online-only retailer (D2C), the underwear products on offer are made in Europe from high-quality fabrics from organic farming and renewable materials. 

In February 2022, Calida Holding AG acquired 90 percent of Vorfreude GmbH, owner of the brand erlich textil. The fair fashion label has now announced that the erlich textil management team – Sarah Grohé, Franziska Schüller, Markus Dembski, Philipp Schatz, Kristof Kruse – together with Jens Grotebrune has reacquired these shares in a management buy-out.

“What a chance! What an opportunity to reconsider approaches, to do things differently, to break up habits and to really reorganise HOW we work together,” says Sarah Grohé, founder of erlich textil.

The Osborne Clarke team was led by Dr Nanni Spitzer and included Philip Meichssner, Lorenz Chwaszcza, Johanna Baumann (all Corporate), Florian Merkle and Patrick Seiler (both Tax).
