International legal practice Osborne Clarke has advised K1 Investment Management, a leading investment firm focusing on high-growth enterprise software companies, on its growth equity investment in XTM International, a leading provider of translation management software to global blue-chip companies. The existing management team will retain a significant equity interest in the company and continue to lead the business.

The XTM platform is a mission-critical system for global enterprises, employing AI to automate translation processes that increasingly leverage machine translation alongside skilled human translators. XTM enables its customers to overcome the increasingly complex problem of localisation by centralising and automating disparate processes, resulting in a cost-efficient, controllable, and scalable content supply chain. Enterprises such as Expedia, Sony, Volvo, and RICOH trust XTM to solve their localisation needs.

Andrew Saul, Senior Partner, commented: "We're thrilled to have advised K1 Investment Management on its investment into XTM International. This deal is another fantastic example of us advising on a successful tech investment and further demonstration of our extensive digital transformation expertise."

The team was led by Senior Partner Andrew Saul and Partner Tom Try (M&A), who were supported by Senior Associate Andrew Carter and Associate Katie Tait from the Corporate team. In addition, Partner Tim Harris (IP), Senior Associate Sophia Christou (IP), Partner Marcus Vass (Commercial), Associate Simon Downes (Commercial), Partner David Nisbet (Employment), Associate Isobel Turner (Employment), Associate Ed Grey (Employment) and Associate Director Luolan Dong (Tax) advised on the transaction.

The Osborne Clarke team worked as co-counsel with Morris, Manning & Martin LLP. Domański Zakrzewski Palinka sp. k. advised on Polish legal matters.
