Following the issue of the Higgs Review, the Smith Report and Money Laundering regulations in the UK, and the spread of the implications of the US Sarbanes-Oxley Act wider into Europe, businesses and the people that direct or manage them, are subject to increasingly burdensome and complex regulation and compliance obligations. The consequences of failing to observe and implement these are also imposing much greater scope for, and risks of, personal liability for boards of directors. This is the case not only for quoted companies, but also for private companies. A pragmatic and systematically implemented governance regime can improve efficiency, boost stakeholder confidence, enhance brand and shareholder value and avoid potentially very expensive mistakes.

We were involved in making a submission to the Higgs Review on corporate governance as part of a working group which canvassed the opinions of Chairmen and NEDs during the Higgs consultative process.
